1. Introduction
These Terms of Service govern your use of KweryAI, operated by KweryAI Ltd. By using our platform you agree to these terms.
2. Definitions
- "Platform": the KweryAI software and services
- "Organisation": the company that has subscribed to KweryAI
- "Admin": the person managing KweryAI for the Organisation
- "User": any person with access to the Platform
- "Data": all information processed through the Platform
3. Eligibility
You must be at least 18 years old and authorised to enter into contracts on behalf of your organisation to use KweryAI.
4. Account responsibilities
- You are responsible for maintaining account security
- You must not share login credentials
- You must notify us immediately of any security breach
- You are responsible for all activity under your account
5. Acceptable use
You must not:
- Use the platform for unlawful purposes
- Attempt to access other organisations' data
- Reverse engineer or copy the platform
- Upload malicious code or content
- Violate any applicable laws or regulations
6. Subscription and payment
- Subscriptions are billed monthly or annually
- Prices are per seat with minimum user requirements
- Payment is due in advance
- Failed payments may result in service suspension
- No refunds for partial months
7. Data ownership
- Your organisation owns all HR data entered into the platform
- KweryAI processes data as a Data Processor on your behalf
- We will never sell or share your data with third parties
- On termination, data is available for export for 30 days
8. Service availability
- We target 99.9% uptime
- Planned maintenance will be notified in advance
- We are not liable for downtime beyond our control
9. Intellectual property
- KweryAI owns all platform code, design and trademarks
- You retain ownership of your data
- You grant us a limited licence to process your data to provide the service
10. Limitation of liability
To the maximum extent permitted by law, KweryAI's liability is limited to the fees paid in the 3 months preceding the claim. We are not liable for indirect, consequential or special damages.
11. Termination
- Either party may terminate with 30 days notice
- We may terminate immediately for breach of these terms
- On termination, access ends and data export is available for 30 days
12. Governing law
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to terms
We will notify you of material changes with 30 days notice. Continued use constitutes acceptance.
